Acquisition Criteria
The Company’s acquisition criteria are that:
• the acquisition targets for the Company are in the business of providing online gaming services;
• the acquisition targets should be profitable or have significant asset value and should have opportunities for consolidation or further development; and
• the owners of the selected business are prepared to accept a large part of the consideration for any acquisition by way of the issue of new Ordinary Shares or other securities in the Company.
On an exceptional basis the Directors will also consider loss-making targets where, in the Directors’ opinion, there is a clear opportunity to develop a profitable and attractive business.
The Company’s strategy will be based upon the identification, evaluation and ultimately its ability to exploit such investment opportunities. The prime objective will be to select acquisition opportunities, which have the potential to show attractive capital returns for BestGames’ shareholders.
The Company will research potential acquisition targets operating within the online gaming sector in Europe and South America. The Directors have the knowledge and experience to evaluate acquisition opportunities and will call upon independent expert advisers in the online gaming sector and other professional advisers as necessary to assist with the due diligence in connection with such evaluations.
Investment strategy
The internet based gaming sector has quickly become one of the fastest growing gaming sectors. There are however huge differences in the profitability of the various types of gaming activities.
BestGames Holdings Ltd aim is to identify the profitable sectors and invest only in those that will have sufficient possible profits. BestGames Holdings Ltd will look to invest not only in the UK but also in different European, Asian and South American markets as well.
By combining both software producers as well as pure gaming companies BesttGames Holdings Ltd looks to structure different investment units as wholly owned subsidiaries and reach an exit when the investment unit is mature and ready for a public offering.
The ultimate goal is to create maximum shareholders value for the shareholders of BestGames Holdings Ltd.
